04.3

If data is lawfully delivered before an invoice falls due, authorised use may begin during the payment period. Non-payment does not retroactively make prior authorised use unlawful. Perpetual data use does not include perpetual hosting, API access, updates or future imagery. The end of an access-only plan does not end a separate perpetual data licence.

Unless the Applicable Order expressly states otherwise, Marble Data Products purchased on a one-time basis are licensed perpetually from lawful delivery, subject to payment, this EULA and valid termination for cause. A data Subscription licence ends when the relevant Subscription expires or is validly terminated, including for downloaded Source Data and VAPs. Perpetual data use does not include perpetual hosting, API access, updates or future imagery. The end of an access-only plan does not end a separate perpetual data licence.

09.2

On expiry or valid termination, Customer shall cease active use of affected Source Data and VAPs and delete or return controlled copies, including copies held by included entities and Authorised Contractors. Customer may retain copies required by law or for legal claims, and residual backups until overwritten in the ordinary documented cycle, with restricted access and no operational use.

Following ordinary Subscription expiry, qualifying Data Derivatives, source-free Model Outputs and lawfully trained non-reconstructible Models may continue to be used and commercially exploited, provided they contain no recoverable Source Data and do not enable prohibited redistribution. Previously distributed reports may remain readable by their lawful recipients, but no new source-containing copies or source-based service may be supplied. Outputs created through breach remain restricted.

A Rights Module ends when its stated term ends; valid Standard Usage Rights remain. The end of a reseller appointment or Platform account does not by itself revoke a properly granted end-customer licence. Payment to the Authorised Reseller is treated as stated in Section 4.3. Any later breach by Customer remains subject to this EULA.

Marble may suspend affected licence rights for a material breach of this EULA or an undisputed overdue payment for the affected Marble Data Products after notice and a reasonable opportunity to remedy. Marble may terminate the affected licence for cause if the statutory requirements are met, normally after an unsuccessful reasonable cure period. Immediate action is permitted where legally justified. Measures shall be proportionate; rights shall be restored when the reason ceases, unless validly terminated. Section 6.2 applies to compliance holds.

Warranty and Liability

10.1

Marble warrants that it has sufficient rights to grant the rights under this EULA for the Marble Data Products. Product delivery, conformity, quality, availability, failed acquisition and supply remedies are governed by the Purchase Agreement with the relevant seller. A sale by an Authorised Reseller does not itself impose the Authorised Reseller's supply obligations on Marble; Marble remains responsible for its own obligations under this EULA and any separate agreement with Customer.

In cases of liability for simple negligence under Section 10.3, Marble's aggregate liability under this EULA is additionally limited to the greater of (a) the fees paid or payable by Customer to the relevant seller for the Marble Data Products giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim and (b) EUR 50,000. The parties consider this amount sufficient to cover the damage foreseeable and typical for the contract. This Section 10.4 does not apply to the cases of unlimited liability set out in the first sentence of Section 10.3.

Audits

On reasonable prior notice, no more than once per calendar year unless a substantiated material breach or a requirement of a competent authority justifies more frequent verification, Marble may request a written compliance certification or conduct a proportionate audit of records relevant to compliance with this EULA. Any audit may be conducted by Marble or by an independent third party appointed by Marble and bound by appropriate confidentiality obligations. Any audit shall be conducted during normal business hours, protect confidentiality and minimise disruption to Customer’s business. Customer shall not be required to disclose unrelated business secrets, personal data, classified material, source code or model weights where adequate alternative evidence of compliance is available.
